The articles of association are a mandatory and fundamental document for a limited liability company. They define the company’s essential elements (corporate name, registered office, purpose, and share capital), the rights and obligations of the partners (notifications and transfers of shares, voting rights, and entitlement to profits), and the company’s organization and operations (partners’ meeting, powers of the managers, auditor, company financial statements, dividends, and public disclosures).
